Terms of Service
These Terms of Service (the "Terms") are an agreement between Detail Binder LLC, an Arizona limited liability company ("Detail Binder," "we," "us") and the business that creates an account (the "Customer," "you"). They govern your use of the Detail Binder Lite service at detailbinder.com and its related applications (the "Service").
By creating an account or using the Service, you agree to these Terms on behalf of your business. The person who signs up must be authorized to bind that business.
1. What the Service is
Detail Binder Lite is a time clock and payroll-preparation tool for cabinet shops and similar businesses. It lets your employees clock in and out on shared kiosks and personal devices, tracks time against your jobs and departments, applies the lunch, break, overtime, and holiday settings you configure, and produces timesheets and payroll export files.
The Service is a tool, not a payroll service and not legal advice. We do not pay your employees, file taxes, or determine what the law requires you to pay. You are solely responsible for reviewing timesheets and exports for accuracy, and for complying with all wage-and-hour, overtime, meal-and-rest-break, recordkeeping, and other employment laws that apply to your business. Settings the Service applies (such as automatic lunch deductions or overtime thresholds) are applied as you configure them; confirming they match your legal obligations is your responsibility.
2. Accounts and your team
You create a shop account and administer it. You may invite employees by email or add kiosk-only employees without an email address. You are responsible for: (a) the accuracy of the information you and your team enter; (b) maintaining the confidentiality of sign-in credentials and PINs; (c) everything done under your account by people you have given access; and (d) removing access promptly when someone leaves your business.
Account holders (owners and admins) must be at least 18. Employees using the time clock must be of legal working age and are using the Service on your behalf, under your direction.
3. Your employees' data
To provide the Service, we process information about your employees on your behalf: names, contact details, PINs (stored hashed), clock punches, job and department assignments, and the timesheet data derived from them. Between you and us, this is your data. You confirm that you have the right to provide it to us and that you have given your employees any notice required by law. Our handling of this data is described in the Privacy Policy, which is part of these Terms.
4. Trial, fees, and billing
Trial. New accounts start with a 30-day free trial. A valid payment card is required to start the trial. Your first charge occurs on day 31, and we will email you at least 48 hours before charging. You can cancel any time during the trial and pay nothing.
Fees. The Service is billed monthly at $49 per month plus $9 per active employee. An "active employee" is an employee who records at least one time entry during the billing month. Owner, admin, and office viewer seats are free and do not count toward the meter. An annual prepay option is available at the price of ten months for twelve months of service. Current pricing is posted at detailbinder.com/pricing; we will give you at least 30 days' notice before any price change takes effect for your account.
Payment. Payments are processed by Stripe. You authorize us to charge your payment method on file each billing period. If a charge fails, we will retry and notify you; if payment remains outstanding, we may suspend the account until it is resolved.
Taxes. Fees are exclusive of applicable sales or similar taxes, which we will collect where required.
5. Cancellation and data retention
You can cancel from the Billing settings at any time. Cancellation takes effect at the end of the current billing period; we do not prorate partial months.
After cancellation, your account enters a 30-day retention window during which your data remains stored and you can reactivate or request an export. After the retention window, we may permanently delete your account data. We recommend exporting your timesheet history before the window closes. We may retain records we are legally required to keep (for example, billing records).
6. Acceptable use
You agree not to: misuse or interfere with the Service; attempt to access another business's data; reverse engineer the Service; use it to violate any law, including employment law; resell it without our written agreement; or use it to build a competing product. We may suspend accounts that present a security risk, are significantly past due, or violate these Terms; where practical we will notify you and give you a chance to fix the issue first.
7. Your content and our software
You retain all rights to your business data. You grant us the limited rights needed to host, process, back up, and display it to your team, which is what operating the Service requires. We retain all rights to the Service's software, design, and branding. If you send us feedback or suggestions, we may use them without obligation.
We may use data in aggregated or de-identified form (never identifying you, your employees, or your shop) to operate and improve the Service.
8. Availability and support
We work to keep the Service available and to fix problems quickly, but the Service is provided "as is" and "as available" without a guaranteed uptime level. We may modify the Service over time; if we materially reduce core functionality you pay for, you may cancel and receive a prorated refund of prepaid, unused fees. Support is available at hello@detailbinder.com.
9. Disclaimers
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Without limiting Section 1: we do not warrant that timesheets, calculations, or exports will be error-free, and you must review them before running payroll.
10. Limitation of liability
To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues; and (b) our total liability under these Terms is capped at the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations or either party's willful misconduct.
11. Indemnity
You will defend and indemnify us against third-party claims arising from your business data, your use of the Service in violation of these Terms, or your violation of employment or other laws, including claims by your employees relating to wages, hours, or your employment practices.
12. Termination by us
We may terminate the agreement with 30 days' notice if we discontinue the Service (with a prorated refund of prepaid, unused fees), or immediately for material breach that is not cured within 10 days of notice, or for non-payment as described in Section 4. Sections 5 and 9 through 14 survive termination.
13. Changes to these Terms
We may update these Terms. For material changes we will notify you (by email or in the app) at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, cancel before the change takes effect.
14. General
These Terms are governed by the laws of the State of Arizona, without regard to conflicts of law. Disputes will be resolved in the state or federal courts located in Maricopa County, Arizona, and both parties consent to that venue. If any provision is unenforceable, the rest remain in effect. These Terms plus the Privacy Policy are the entire agreement and supersede prior discussions. You may not assign the agreement without our consent, except to a successor in a merger or sale of your business; we may assign it to a successor of ours. Notices to us: hello@detailbinder.com. Notices to you: your account email.
